What is SeedUps Canada?

SeedUps Canada is a Crowdfund investing platform where ordinary investors can invest in great companies offering investments in the Exempt Market.

What companies post on SeedUps Canada?

SeedUps Canada helps start-up, early stage and growth companies raise between $250,000 and $2 million in capital. Companies on SeedUps Canada must offer their securities in compliance with National Instrument 45-106, Prospectus and Registration Exemptions and its companion Blanket Order 45-512.

Does it cost anything to create a new SeedUp?

No. It's free to submit a proposal to SeedUps Canada. Simply complete our Opportunity SnapShot™ and we’ll follow-up with next steps. If you qualify to raise capital on the platform and you choose to go live, you will incur on-boarding, professional and legal fees relating to the preparation of the offering.

How do we prepare our Offering Documents?

You will need to consult legal counsel to prepare the documents in accordance with the type of offering you are presenting. We do not provide any legal advice nor do we prepare your offering documents, but we can provide you with samples of standardized legal documents when you pass our initial investor readiness checklist.

How much does it cost to Raise Money on SeedUps Canada?

SeedUps Canada is licensed and operated by Waverley Corporate Financial Services Ltd., (Waverley), an Exempt Market Dealer registered in QC, ON, AB and BC. All securities related activity is conducted by Waverley. You will pay a success fee to Waverley, based on the amount raised, but only if you are successful and only on the completion of the deal. Fees are generally consistent with traditional investment banking fees for similar transactions.

What if I don't reach my funding goal?

SeedUps Canada is an all or nothing funding model. This means that you must raise all of the funds you ask for within a 90 day listing period. If you don't succeed, you pay no success fee.

How do we get started?

Start by registering as a Company, create a profile and complete our Opportunity Snapshot™. The Snapshot takes you through a series of questions and asks you to upload documents that pertain to your capital raise. This is an important step and one you need to be prepared for. Investors expect clear and transparent information from the companies they want to invest in.

Once you have input all information you submit the Opportunity Snapshot™ for us to review. If we believe your opportunity has merit, we’ll provide you with next steps and coach you through the offering process.

What happens when we get posted?

Tell everyone you know that you have a pitch posted on SeedUps Canada. Talk to your friends and family and ask them to suggest others you can reach out to. Use social media and networking sites and encourage people to register on SeedUps Canada to view your pitch.

Crowdfunding statistics tell us that 30% of investments typically come from your own extended network while the balance comes from that network’s reach. It’s important to respond to investor questions and comments and keep investors informed on new developments in your company.

What is an Opportunity SnapShot?

An Opportunity SnapShot™ is an overview of your pitch that provides pre-qualified Investors with an informed outline of your business idea. It includes information about the problem, the solution, the market and some financial forecasts.

I don't have a Video Pitch, what should I do?

Don't worry! While we advise that you develop a video pitch over time to maximize your chances of securing funding; it is not essential. A video pitch is however a great way to emphasize the strengths of your business idea and how you plan to attack the market with the team you have or plan to recruit

Is there a time limit for funding?

Yes. All opportunities are listed for 90 days. This allows a reasonable time-frame to market the opportunity and enables a constant flow of fresh opportunities through the pipe-line.

How do we share our Opportunity?

SeedUps Canada provides social networking tools that allow you to share your opportunities before and during the listing period.

How do we get our Opportunity featured on the homepage?

We operate a fair rotation system for New and Closing Soon opportunities. Other categories include Popular and Successful.

What method of funds transfer do Investors use?

Investors transfer funds via direct debit through Vogogo, a secure bank-to-bank payment service provider. The funds are deposited into an escrow account until the funding goal has been reached and legal counsel has completed required documents.

When do we receive our funds?

Funds are transferred once the legal firm has satisfied all closing requirements including share certificate distribution and disbursement of appropriate fees.

What happens when the funding round is over?

You invest the money in your business venture and work toward achieving your targets. You can then come back and ask the crowd for more funding if required.

Who can view our pitch?

Any user can view basic information such as name, location and industry for a project, but only registered qualified individuals can view project profiles. Securities regulations prevent us from showing company profiles to certain investors based on their investor qualifications and their jurisdiction.

Who can comment on our pitch?

Any registered investor that is authorized to view your profile can comment on your pitch.

What happens to our profile when our pitch is over?

We encourage you to keep your profile active, update your Investors on your company's progress and keep people engaged until your next campaign.

How do I verify my SeedUps account?

After signing-up, you will receive a confirmation email. Click on the link in the email to verify your account.

I never received a confirmation email after I signed up. What do I do?

Sometimes our emails go to SPAM/Junk folders. Add support@seedups.ca to your address book to prevent this. If that doesn't work, please email us at support@seedups.ca.

I forgot my password. What do I do?

Don't worry. Go to the Forgot Password page and we'll email you a temporary password. If that doesn't work, you can always email us at support@seedups.ca.

How do I cancel my registration?

If you would like to cancel your registration and remove your profile, you can do so by going to the Close Account section of your profile. You will be required to confirm with your password.
